What this is
Joshua’s highest-ticket personal offer: structuring/strategy advisory (explicitly not legal/tax/investment advice) for foundations, NGOs, endowed nonprofits, and family offices that sit on idle endowments and want to make impact investments. Two-track entry: Structuring Scan (€4,200 net = €4,998 incl. USt. for charitable buyers; Scan+ €5,900 net with a facilitated board session for family offices/international buyers) and Full Structuring Engagement (€10-25k, modular). Delivery leverages the AI fleet → weeks not quarters, ~1/5 the law-firm/Big-4 price, at ~2 evenings/week of Joshua-time.

Deliberate non-changes: BIII is now BVII (renamed 2025) — corrected in PROSPECTS.md/OUTREACH.md membership steps. “Endowments Awake” stays the internal working name only; the public identity remains “Joshua Haynes — Impact Structuring.”

0. BaFin claim verification (~10 min — DO FIRST, blocks everything)
- Open the BaFin Unternehmensdatenbank (portal.mvp.bafin.de) and pull the actual register entry for the fund manager.
- Determine the exact basis — most likely §2(4) KAGB sub-threshold AIFM registered per §44 KAGB. Fix the final phrase, e.g.: “co-founded a German GmbH & Co. KG impact fund whose manager is registered with BaFin under §44 KAGB” (state the paragraph only when asked; keep the short form in copy).
- Current copy already uses the precise “whose manager is registered with BaFin” form in index.html, patterns.html, STRUCTURING-PATTERNS.md, OFFER.md, OUTREACH.md (drafts 1, 2, and the DE section) — search for
MA-0comments and confirm or adjust each. Precision reads as MORE credible to this audience. Do not soften; verify.
1. Entity + VAT decision (~20 min, with yesterday’s coffee)
- Decide: personal freiberuflich (default — new tax number line, Kleinunternehmer §19 UStG question — likely NO given target revenue, so VAT registration) or MIA UG invoices (check Gegenstand covers Unternehmensberatung; standard 19% USt.; Impressum = MIA).
- Brand exposure check: MIA UG’s legal name contains “Masawa” — if MIA invoices, the Masawa name sits on the letterhead, Impressum, and every invoice of a deliberately de-Masawa-branded practice. Clear it with [CO-FOUNDER] first or rename; otherwise default to freiberuflich. Entity criteria = brand exposure, not just VAT/Gegenstand.
- Cross-border VAT check (~20 min — do before quoting Scan+ internationally): §3a UStG place-of-supply. Non-German business recipient with USt-ID → reverse charge, no German VAT. Foreign charity without economic activity/USt-ID may be a non-entrepreneur → 19% German VAT applies, i.e. Scan+ = €7,021 gross for a non-recovering international NGO. Pick the correct bracket in ENGAGEMENT-LETTER.md §3 (a/b/c) per client. You self-file MIA/CHUG — this is a check you can actually do.
