Capital-structure design as a fixed-price product, sold at two altitudes. Flagship (the €5k+ path): emerging GPs and foundations designing vehicles buy a Structure Sprint — LPA economics memo + waterfall model + two sessions + one post-counsel revision, from €5,000, scoped on a call. Tripwire: founders raising “weird money” buy a Deal Mechanics Memo — €500, 5–7 pages, 5 days. Not legal advice — the layer above the lawyer that saves ~€15k of billable wandering.
Pricing: €500 memo · €900 memo + session · Structure Sprint from €5,000 (all excl. VAT where applicable — see Morning Action 2). COGS: ~€0. Channel: 8.8k LinkedIn followers + warm Impact Europe / Top Tier Impact / NEXUS network. Weekday-safe: async, 1 memo/week or 1 active Sprint cap. Assignment target: first paid engagement of €5,000+ within 30 days — only the Sprint hits it; the whole plan aims outbound at fund-side buyers first.

Brand note: all copy uses Joshua’s personal track record only. No Masawa-branded positioning, and no real fund’s waterfall is narrated anywhere — every worked example (page, sample memo, LinkedIn post) is an invented, labeled composite. Keep it that way.
MORNING ACTIONS (human-only, ~2.5 hours total)

1. Approve or strengthen the two flagged claims (10 min)
The HTML ships with safe-by-default phrasing. Two stronger claims are opt-in — only edit them in if you confirm them:

2. VAT check (5 min)
Confirm your Kleinunternehmer / UG status for this revenue stream and set the pricing note accordingly in index.html (marked with a comment): if Kleinunternehmer §19 UStG applies → “prices final, no VAT charged (§19 UStG)”; otherwise keep “prices excl. VAT where applicable”. Mirror the choice in the Stripe products (tax setting) in Action 3.
3. Create Stripe payment links + Tally intake (25 min)
- Stripe, existing account, EUR: “Deal Mechanics Memo” €500 one-time; “Deal Mechanics Memo + Working Session” €900 one-time. Replace the placeholder CTAs in
index.html(marked<!-- MORNING ACTION -->). The Sprint CTAs are already live mailtos with prefilled subjects — leave them. - Tally (free): create the form from
intake-form.mdverbatim. Set Stripe’s post-payment confirmation/receipt to link to the Tally form.
4. Personalize the who-block + deploy (20 min)
- Drop a headshot next to
index.htmlasjoshua.jpgand swap the initials avatar (comment shows the one-line change). - Paste the exact Tech.eu article URL (the 2025-03-04 piece) into the who-block press link (comment marks it).
- Replace

5. Publish the LinkedIn anatomy post (15 min)
Copy-paste draft — worked example with invented numbers (it is NOT any real fund’s waterfall; keep it that way when editing):
“We’ve been offered a recoverable grant with a revenue kicker. What IS that?” — a founder question I’ve been answering in DMs for years.
Blended finance isn’t a vibe, it’s plumbing. Here’s the actual mechanics — worked example, invented numbers:
The stack: €300k recoverable grant from a foundation, €200k revenue-share notes from two angels, €700k in SAFEs.
How it flows once ARR crosses €750k: 1. Foundation: 4% of revenue above the trigger, until 1.2× (€360k) is recovered. Below the trigger it gets nothing — that’s the point. It bought the downside so the rest of the money would show up. 2. Revenue-share notes: 2% of revenue, capped at 1.5×. 3. SAFEs: untouched — convert at the next priced round at a 20% discount. 4. Founders: everything else. No dividend block. Don’t accept one.
The three tripwires that kill deals like this six weeks before signing: - The grant’s exit-conversion side letter can quietly turn it into a security under German law. One clause. - The foundation’s Gemeinnützigkeit: if the repayment profile reads like an investment return, its charitable status is on the line. - Two different definitions of “revenue” in one stack — the most common €20k drafting mistake I see.
None of this needs a €40k legal exploration. It needs someone who’s seen the pattern, a five-page memo, and THEN a lawyer with a precise brief.

Open dm-roster.md. Fill the 15 name blanks from your own contacts (the exact LinkedIn search per row is there if a name doesn’t come to mind — skip rows that don’t fill in 60 seconds). Rows 1–10 (fund-side, Template A, Sprint ask) go first — they are the €5k path. Rows 11–15 (founder-side, Template B, memo ask) keep the tripwire funnel warm.
7. Start the 7-day clock
Open VALIDATION.md, note today’s date at the top, calendar reminder for Day 7: read the thresholds table and obey it. Remember the floor rule: never quote a Sprint below €5,000.
