You’ve paid; now brief me. Ten questions, ~15 minutes. Rough is fine — a messy answer beats a polished delay. Everything here is confidential by default: anonymized patterns may inform future public writing, never your name, numbers, or counterparties.
Q1. Who are you and what’s the company/vehicle? (short text + long text) Name, role, entity name + legal form + country of incorporation. If the entity doesn’t exist yet, say what you intend.
Q2. What are you raising or designing, in one sentence — in your own words? (long text) Don’t worry about the right vocabulary. “A foundation wants to give us money we pay back from revenue” is a perfect answer.
Q3. The numbers. (long text) Total round/vehicle size, amount per instrument/tranche, and any economics already proposed (%, caps, triggers, hurdles, carry splits). Ranges are fine.
Q4. Who is on the other side of the table? (long text) Each counterparty by type (foundation, DFI, angel, family office, gGmbH, 501(c)(3), commercial LP…), their jurisdiction, and how sophisticated their counsel is (none / generalist / specialist).
Q5. Which jurisdictions touch this deal? (checkboxes: Germany / other EU / US / UK / other + text) Where the entities sit, where the money comes from, where investors are tax-resident.
Q6. What has actually been proposed so far? (long text) Quote the emails or term-sheet language if you can. If nothing is on paper yet, describe the last conversation.
Q7. What’s been agreed vs. what’s still open? (long text) What you believe is locked, and the 2–3 points you expect to negotiate.
Q8. What is your deadline or forcing event? (short text) Closing date, funder board meeting, runway cliff — whatever drives urgency.
Q9. What outcome would make this memo a bargain for you? (long text) E.g., “know what to call this,” “counter their waterfall,” “walk into fund counsel with a term sheet,” “get my board comfortable.”
Q10. Upload whatever paper exists. (file upload, multiple) Term-sheet drafts, funder emails, LPA fragments, a photo of a napkin. Anything. If nothing exists, skip.
