The KG Papers — German Fund Plumbing in English
One line: A three-tier offer for English-native emerging managers forming a GmbH & Co. KG fund in Germany — the €5,000–7,500 Structuring Sprint (flagship: education + counsel briefing pack so the €25k mandate becomes €15k), the €750 Walkthrough (orientation session, credited against the Sprint), and the €299 KG Papers field guide (credibility artifact + lead magnet) — all built on Joshua’s founder-GP scar tissue, sold to people currently buying this knowledge at €400/hr from lawyers who explain it badly.
Status: Scoped overnight; revised per council feedback 2026-07-15 (Sprint tier added, sequencing inverted, compliance copy rewritten, lead magnet + sample chapter built). Nothing launched, nothing deployed, no accounts created.

This file + MORNING ACTIONS |
The shape of it
- Sprint €5,000–7,500 (invoice after free scoping call, cap 2/mo) → Walkthrough €750 (Lemon Squeezy + Cal.com, cap 3/mo, credited against a Sprint within 30 days) → Guide €299/€249 (Lemon Squeezy pre-order) → free entity map (email capture). One Sprint clears the 30-day €5k target.
- Refunds (single policy, everywhere): pre-orders refundable anytime before delivery; 14-day no-questions refund after delivery; Walkthrough/Sprint refundable until the first session.
- Compliance: every paid tier is education-and-preparation — “what I did, what to ask your lawyer,” deliverable is a counsel briefing pack. Never “your situation mapped,” never structure recommendations. Keine Rechts- oder Steuerberatung, disclaimed everywhere.
- Brand hygiene: personal credentials only, wording verified in Action #2. No fund brand name, no real fund documents. Weekday hours stay with the fund; Sprint cap keeps this in evenings/margins.
MORNING ACTIONS (human-only, in order)
1. Kill/scope gut-check (2 min)
The judges scored the guide 8/30 on TAM — correct, and now moot: the Sprint is the revenue engine and needs exactly 1–2 clients/month. Decide: run the 7-day kill-test, or archive. Everything below assumes “run it.”
2. Verify + approve the credential line (5 min — SENSITIVE, your call only, BLOCKS everything else)
Confirm the exact facts before any asset ships:
- BaFin status: confirm the precise registered entity and its registration status. If it’s a sub-threshold registration (§ 2 Abs. 4 KAGB), the safer verbatim is “co-founded an impact fund whose manager is registered with BaFin as a sub-threshold AIFM” — which is also the more credible flex here, since sub-threshold is literally chapter 5. Currently all assets say “co-founded a BaFin-registered impact fund”; edit index.html (author section + HTML comment marks the spot), the LinkedIn post below, and the DM variants in PROSPECTS.md to match reality exactly.
- USAID figure: pick “$190M” or “$190–200M” per what you can defend, and make it uniform.
- Courtesy heads-up to your co-founder (one Slack message now beats one awkward conversation later).
3. Fill PROSPECTS.md — 20 names, 15-minute timebox (15 min, hard stop)
Open PROSPECTS.md. Fill the 20 rows from LinkedIn/WhatsApp: 8× segment A (actively forming/converting a KG), 6× B (lawyers/admins/advisors as channel), 6× C (amplifiers). Mining prompts are in the file. Also mark your actual access status in the communities table. Done > perfect — a half-filled list with 5 real segment-A names beats a perfect list tomorrow.
4. Sanity-read the outline + sample chapter (15 min)
Read SPEC.md “Offer ladder” as the table of contents, then chapter-05-bafin-path-DRAFT.md. Resolve or flag every [VERIFY] tag — you are the accuracy backstop. Anything stale gets a “verify before circulating” note.
5. Set up storefront + capture (20 min, ~$0)
- Lemon Squeezy: product 1 “The KG Papers — pre-order”, €249, description verbatim: “Ships within 21 days. Full refund anytime before delivery, and a 14-day no-questions refund after delivery.” Product 2: “The Walkthrough”, €750, Cal.com booking link in the receipt. No Sprint product — Sprint CTA is a free 20-min scoping call (plain Cal.com link), invoice after.
- Tally or Buttondown for the free one-pager capture; export
lead-magnet.htmlto PDF (open in browser → print → save as PDF) as the deliverable. - Fill the
data-todoplaceholders inindex.html(checkout URLs, capture endpoint, Sprint scoping-call link) and the[FILL]blocks inimpressum.html/datenschutz.html(name, address, email). - Deploy the folder to Cloudflare Pages (unicorn.land subdomain fine for the test).
6. Post the launch story (5 min to paste — Tue/Wed morning)
LinkedIn, personal account, product link in the FIRST COMMENT:
Everything I wish someone had told me before forming a German fund KG, in English.
A few years ago I co-founded an impact fund in Germany [ADJUST PER ACTION #2]. I speak C2 German. I’d managed nine-figure portfolios before. And I still spent my first months of fund formation nodding at €400/hour while someone explained gewerbliche Entprägung to me for the third time.
The knowledge isn’t secret. It’s just locked in German, priced by the hour, and explained in the order that suits the engagement — not the order you need it.
So I drew it. The whole entity stack — KG, GP-GmbH, ManCo, carry vehicle, who owns what, who signs what — on one page. It’s free, link in the comments. Behind it: a field guide (the Satzung annotated clause by clause, the LPA skeleton, the actual BaFin sub-threshold path, the Handelsregister order of operations nobody writes down) — and for the handful of you actually forming right now, a small number of structuring sprints so you arrive at your lawyer with the decisions framed instead of buying vocabulary at €400/hour.
Field notes from a founder-GP — not a law firm memo, not legal advice. If you’ve been through this gauntlet: what do you wish someone had told you? I’ll fold the best answers into the guide, with credit.

7. Send the DMs — segment A first, days 1–2 (scripts in PROSPECTS.md)
The Sprint variant closes with the question that matters: “are you (or is someone you know) actually forming or converting right now?” — not “would you have paid €299.” Segment B/C variants on day 3. Every “yes, forming” gets a scoping-call link within the hour.
8. Book the kill-test review (1 min)
Calendar hold 7 days out: “KG Papers — GO/PIVOT/KILL against VALIDATION.md thresholds.” If KILL, refund any pre-orders same day with:
“Thanks for backing this. Not enough of you exist for me to write it properly, so I’m refunding everyone rather than shipping something thin. The free entity map is still yours — and if you’re mid-formation, ping me anyway.”
Explicitly NOT done overnight (per hard rules)
No deploys, no posts sent, no accounts created, no purchases, no emails. All checkout/capture links are data-todo placeholders; Impressum/Datenschutz have [FILL] blocks. Nothing references the fund’s brand.
