Structuring Scan — Intake Questionnaire & Document Request

Sent WITH the proposal (it is a credibility artifact — it shows the process is real before a euro moves). Day 1-2 of the two-week clock starts when this comes back substantially complete. EN master; the DE mirror of each question is in italics where wording matters.


Part A — Intake questionnaire (30-45 minutes, one respondent, ranges are fine)

1. Organization basics

  1. Legal name, legal form (e.V. / gGmbH / rechtsfähige Stiftung / Treuhandstiftung / 501(c)(3) / other), seat, year founded.
  2. Charitable status: recognized gemeinnützig? Latest Freistellungsbescheid / Feststellungsbescheid year. (US: determination letter.) — Gemeinnützigkeit anerkannt? Jahr des letzten Freistellungsbescheids.
  3. Supervisory context: which Stiftungsaufsicht / regulator, if any? Any past correspondence about investments?
  4. Who decides what: ED/Geschäftsführung sign-off limits, board/Vorstand meeting rhythm, next two board dates, any investment or finance committee.

2. The money

  1. Total assets, split roughly into: Vermögensstock / endowment (preserve), freie Rücklagen / free reserves, zeitnah zu verwendende Mittel / funds for timely use, operating cash. Ranges are fine; the split matters more than precision.
  2. Where it sits today: bank/Tagesgeld %, bonds %, equities/ETF %, real estate %, other.
  3. Any existing investment policy, Anlagerichtlinie, or board resolutions touching investments? (Attach if yes.)
  4. Expected inflows in the next 24 months: bequests, asset sales, campaigns, recurring surpluses.

3. Mission and appetite

  1. Mission in one paragraph, and the 2-3 fields where money could advance it directly.
  2. Has the board discussed mission/impact investing? What was said, verbatim if you dare. — Wurde Mission Investing im Vorstand diskutiert? Was wurde gesagt?
  3. What triggered this conversation now? (Bequest, board question, deal invitation, new leadership, returns pressure…)
  4. Risk temperature: what would a “loss” mean politically inside the org? Who would have to explain it, to whom?
  5. Horizon: is any part of the money genuinely permanent? Any liquidity needs in <3 years?

4. Constraints and history

  1. Satzung/bylaw clauses you already know are restrictive — or attach the document (see Part B) and the Scan will flag candidate clauses as prioritized questions for your counsel to examine.
  2. Any related entities: subsidiaries, sister foundations, US friends-of entity, corporate founder relationships.
  3. Prior attempts: has the org ever tried an investment, guarantee, or loan for mission purposes? What happened?
  4. Current advisers: Rechtsanwalt (which firm, Stiftungsrecht experience?), Steuerberater/WP, bank/asset manager. May I address the counsel brief to them by name, and may they join the readout? — Dürfen Ihre Berater am Ergebnisgespräch teilnehmen?

5. Success definition

  1. If the Scan works perfectly, what can you do on day 15 that you can’t do today?
  2. Who besides you must be convinced, and what does that person care about most?

Part B — Document request checklist

Practicalities: PDF preferred, German or English (Swedish, Spanish, French, Arabic also fine). Secure upload link provided on signing; documents are seen by Joshua and processed under the confidentiality clause of the engagement letter — AI-assisted analysis runs on systems under his control, and documents are never used to train anything. Redactions welcome where names aren’t structurally relevant.

Missing documents are data too: if the org can’t find its Anlagerichtlinie or last Freistellungsbescheid, that’s a finding, not a problem — say so and we start anyway.
